Terms and Conditions – General Terms of Online Sales
1. Scope and Purpose of the Store's General Terms
These General Terms, together with the order form and other elements referred to herein, govern the terms and conditions under which the Online Store service, jasil.com (the “Service” or the “Store”), is provided by Jasil - J. António da Silva Lda., with registered office at Parque Industrial de Adaúfe, Lote i6, 4710-571 Adaúfe-Braga, registered under corporate identification number 500 738 270 and with a share capital of €249,400.00 (hereinafter “JASIL”).
The Service consists of providing access to the Online Store through www.jasil.com, which, in addition to presenting information about a range of products and/or services, enables the Customer to place orders for the products displayed electronically, under the terms and conditions described herein, and provides access to invoicing data.
It is assumed that orders for products are placed by Customers with the necessary credentials to access the platform www.jasil.pt acting on behalf of the legal entity they represent. The data and information provided by the Customer will have full legal effect, and the Customer acknowledges electronic acquisitions and may not claim lack of signature as grounds for failure to comply with obligations assumed.
2. Product Information and Content
JASIL will make every reasonable effort to ensure that the information presented does not contain typographical errors, which will be corrected promptly if they occur. If a product is purchased that has characteristics different from those presented online, JASIL will address the issue in accordance with its policies.
JASIL will make every reasonable effort to ship all products ordered, but it is possible that in certain cases—due to causes beyond the reasonable control of JASIL., such as human error or incidents affecting information systems—one or more products ordered by the Customer may not be available. If a product is unavailable after the order has been placed, the Customer will be notified by e‑mail or telephone and will be offered the option to cancel the order.
All information regarding prices, products, specifications, promotional offers and services may be changed at any time by JASIL.
Product color tones may vary depending upon the screen or device used to view them.
3. Liabilities
3.1. All products and services sold through the Online Store of JASIL comply with applicable Portuguese law.
3.2. The Store has appropriate security measures; however, JASIL shall not be liable for any losses suffered by the Customer and/or third parties as a result of delays, interruptions, errors or suspensions of communications originating from factors outside its control, including any deficiencies or failures caused by third‑party communications networks or services, information systems, modems, connection software, potential computer viruses, or by downloading files that are infected or contain viruses or other properties that may affect the Customer’s equipment. If for any reason access to the Online Store website www.jasil.com is impaired, J. António da Silva Lda. shall not be liable for any resulting losses.
3.3. Data and information consulted through this Service shall be presumed to have been consulted by the Customer, and J. António da Silva Lda. disclaims any liability arising from abusive or fraudulent use of information obtained.
3.4. J. António da Silva Lda. shall not be liable for any losses or damages caused by abusive use of the Service that are not directly attributable to it by intentional misconduct or gross negligence.
3.5. J. António da Silva Lda. shall not be responsible for losses or damages resulting from non‑performance or defective performance of the Service when such non‑performance or defective performance is not directly or indirectly attributable to it by intentional misconduct or gross negligence. Specifically, J. António da Silva Lda. is not liable for: (i) errors, omissions or other inaccuracies in the information provided through the Service; (ii) damages caused by the Customer or third parties, including infringements of intellectual property; (iii) non‑performance or defective performance resulting from compliance with court orders or administrative authorities; or (iv) non‑performance or defective performance resulting from force majeure events, i.e., extraordinary or unforeseeable events beyond the control of J. António da Silva Lda., such as fires, power outages, explosions, wars, riots, civil unrest, government actions, strikes, earthquakes, floods or other natural catastrophes, or other events outside J. António da Silva Lda.'s control that prevent or hinder fulfillment of its obligations.
3.6. J. António da Silva Lda. does not guarantee that:
i) the Service will be provided uninterruptedly, securely and without errors;
ii) the quality of any product, Service, information or other material purchased or obtained through the Service will meet the Customer’s expectations;
iii) any material obtained in any way through the use of the Service is used at the Customer’s own risk, and the Customer is solely responsible for any damage to their system or computer equipment or for any loss of data resulting from such operations;
iv) no advice or information, whether oral or written, obtained by the Customer from or through the Service will create any warranty not expressly stated in these General Terms.
3.7. The Customer accepts that JASIL cannot in any event be held liable for any damages, including but not limited to lost profits, data loss, content loss, or any other losses (even if the Customer has been previously notified of the possibility of such damages) resulting from:
i) use of or inability to use the Service;
ii) difficulty in obtaining any substitute goods or services;
iii) unauthorized access to or alteration of business databases.
4. Customer Obligations
4.1. The Customer undertakes to:
i) Provide correct corporate data and addresses;
ii) Not use false identities.
4.2. If any provided information is incorrect or insufficient, and as a result there is a delay or impossibility in processing the order or a failure to deliver, the Customer shall be responsible, and J. António da Silva Lda. disclaims any liability. If the Customer breaches any of these obligations, J. António da Silva Lda. reserves the right to delete future purchases, block access to the Store, cancel the provision of any other services provided concurrently by JASIL to the same Customer, and to deny future access by the Customer to any services provided by JASIL.
5. Privacy and Protection of Business Data
5.1. J. António da Silva Lda. guarantees the confidentiality of all data provided by Customers.
5.2. The company data identified in the order form as mandatory are essential to the provision of the Service by JASIL Omission or inaccuracy of data provided by the Customer is the Customer’s sole responsibility and may result in refusal to provide the Service by JASIL.
5.3. The Customer’s company data will be processed and stored electronically and will be used by JASIL within the scope of the contractual and/or commercial relationship with the Customer and, if authorized by the Customer, for marketing purposes as appropriate and in accordance with the company’s objectives.
5.4. Under applicable law, the Customer has the right, free of charge, to access, rectify and update their data by written request, as well as the right to object to the use of their data for the purposes set forth above. For this purpose, the Customer should contact the data controller: JASIL.
5.5. The Internet is an open network; Customer data, other company information and all content hosted on the Service may circulate over the network without guaranteed security, and may be accessible and used by unauthorized third parties. J. António da Silva Lda. cannot be held responsible for such access and/or use.
6. Order Cancellation
6.1. At the Customer's request (up to 12:00 noon on the day prior to the scheduled delivery date):
The Customer may cancel their order by contacting JASIL by telephone or e‑mail and quoting the order number. Cancellation will be accepted provided the order has not yet been processed. After processing, J. António da Silva Lda. will attempt delivery, but the Customer may refuse to accept it.
To request cancellation the Customer must provide the following information to J. António da Silva Lda.:
a) Order number;
b) Tax Identification Number (NIF) used to place the order.
6.2. At the discretion of J. António da Silva Lda.: J. António da Silva Lda. reserves the right not to process orders when inconsistencies in the company data are detected or misconduct by the purchaser is observed. It also reserves the right not to process any order or refund in case of errors in product values and/or characteristics resulting from technical problems, non‑compliance of bank/account information or errors not attributable to JASIL.
7. Returns (Right of Withdrawal)
7.1. The Customer may exercise the right of withdrawal without penalty within 2 (two) business days from the date the Customer acquires physical possession of the goods by contacting J. António da Silva Lda. by telephone or e‑mail:

To exercise this right, the Customer must contact JASIL by e‑mail or telephone and provide all identification details. The Customer must return the order in the same conditions in which it was received. The packaging must be returned complete, as delivered, and accompanied by the sales invoice and the document proving receipt of the product. The packaging and documents indicated will be collected free of charge at the delivery address on the scheduled route day. If the Customer chooses other means of return shipment, the return shipping costs shall be the Customer’s responsibility.
7.2. After receipt of the returned goods by JASIL, the Customer will be refunded the returned article or the amount corresponding to the price paid for the order (sales invoice amount).
7.3. The method of refund depends on the payment method used for the respective order.
7.4. If the item has been degraded due to improper care or packaging by the Customer, no refund of the price or shipping costs will be made, and the product will be returned to the original shipping address.
8. Manufacturing Defect
8.1. In the event of a “manufacturing defect”, i.e., when defects are found in items that, in principle, do not conform to the characteristics of the item, the Customer must contact JASIL and have the copy of the invoice in their possession. If the Customer chooses other means of return shipment, the return shipping costs shall be the Customer’s responsibility.
8.2. For an exchange to be made, the Customer must ensure that the packaging is complete and in excellent condition.
8.3. If the condition described in 8.2 is not met, no exchange will be made and the product will be returned to the Customer.
9. Validity
9.1. All items available in the Store are properly certified.
9.2. Items have a shelf life or validity period defined by the manufacturer. Returns may only be made if the packaging is in good condition and proof of purchase (invoice) is provided.
9.3. Items are considered outside their validity conditions if they have exceeded the period specified for the item or show signs of negligence, mishandling or improper storage.
9.4. If an item is non‑conforming and still within its validity period, the Customer should contact JASIL.
9.5. If the Customer chooses other means of return shipment, the return shipping costs shall be the Customer’s responsibility. The Customer should always request and retain the postal receipt (CTT receipt) as proof of shipment.
10. Intellectual Property
10.1. The Store is a registered website and the Service provided by the site is the responsibility of JASIL.
10.2. The Customer acknowledges that the Service contains confidential information and is protected by copyright and related rights, industrial property rights and other applicable laws.
10.3. The Customer acknowledges that any content appearing in advertising, highlights, promotions or mentions by any sponsor or advertiser is protected by copyright and related rights, industrial property laws and other property protection laws, and any use of such content may only occur with the express authorization of the respective owners.
10.4. The Customer undertakes to fully respect the rights referred to in the preceding paragraph, and in particular to refrain from any acts that may violate such rights, including reproduction, commercialization, transmission or making such content available to the public or any other unauthorized acts targeting such content.
11. Service Security Conditions
11.1. The Customer undertakes to observe all applicable legal provisions, in particular to refrain from committing or promoting illegal acts or acts offensive to public decency, such as the indiscriminate sending of unsolicited communications (spamming) in violation of applicable data processing legislation and rules on advertising communications through automatic calling devices. The Customer must also observe the rules for use of the Service, under penalty of suspension or deactivation of the Service by JASIL as provided in section 14.
11.2. The Customer expressly acknowledges and accepts that the IP Network is a public electronic communications network subject to use by multiple Customers and therefore susceptible to overloads; JASIL does not guarantee uninterrupted provision of the Service without loss of information or delay.
11.3. JASIL also does not guarantee provision of the Service in situations of unforeseeable overloads of the supporting systems or in cases of force majeure (extraordinary or unforeseeable events beyond the control of JASIL).
11.4. In the event of interruption of the Service due to unforeseeable overloads of the supporting systems, JASIL undertakes to restore service operation as soon as possible.
12. Suspension and Deactivation of the Store Service
12.1. Without prejudice to any prior or subsequent communication, JASIL may, at any time and at its sole discretion, discontinue the provision of the Service or part thereof to one or all Customers.
12.2. JASIL also reserves the right to suspend or immediately terminate access to the Service in the following cases:
a) When the Customer fails to comply with the terms of use referred to in section 4 and other provisions in these General Terms;
b) When JASIL discontinues access to the Store, upon prior notice of at least 15 days before the termination date.
12.3. Suspension or termination of the Service by JASIL under the foregoing provisions does not entitle the Customer or third parties to any compensation or indemnity, and J. António da Silva Lda. shall not be held liable for any consequences resulting from the suspension, cancellation or termination of the Service.
12.4. In the situations described above, JASIL will notify the Customer in advance so that the Customer may, if desired, safeguard the contents of their order viewing area within 3 (three) business days from the sending of the email or the posting of the information on the Service’s main page.
13. Communications
13.1. Without prejudice to other means of communication provided in these General Terms, notifications to the Customer relating to the Service, including any amendments to these General Terms, may be made to the Customer’s e‑mail address or by mail to the address provided by the Customer.
13.2. The Customer agrees to receive any and all communications and/or notifications related to the Online Store at the address, contact telephone number and/or e‑mail address provided during the ordering process. At any time, the Customer may request not to receive such communications and/or notifications via the Contact Form or by selecting the “Unsubscribe from Newsletter” option included in each newsletter.
14. Technical Settings
14.1. Without prejudice to the following paragraph, JASIL may change the Service and/or the technical conditions for providing it, as well as the respective rules of use, and shall disclose such changes to the Customer at least 15 (fifteen) days in advance.
14.2. The version of these General Terms and their annexes in force at any time is available at www.jasil.com.
15. Other Communications and Technical Evolution
15.1. Whenever JASIL deems it necessary or convenient to optimize the browsing experience and/or improve connectivity conditions, it may remotely reconfigure network settings.
15.2. Given the innovative nature of the Service and technological developments to which it may be subject, JASIL may alter the technical settings of the Service whenever such changes are convenient to adapt to potential technological developments.
15.3. However, JASIL does not guarantee that it will implement any upgrades or improvements to the Service.
16. Claims
16.1. The Customer may submit contractual disputes to arbitration and mediation mechanisms that are or may be legally constituted, and may also file claims with JASIL concerning acts or omissions that violate the legal provisions applicable to the purchase of goods.
16.2. A claim must be filed within 2 (two) days from the date on which the Customer became aware of the facts and will be recorded in the information systems of JASIL, which must decide on the claim and notify the interested party within a maximum period of 30 (thirty) days from the date of receipt.
Governing Law
The Contract is governed by Portuguese law.
